1. Acceptance of Terms
Welcome to Difract. These Terms of Service ("Terms") govern your access to and use of the Difract platform, including our Graph-Based Generative Video Engine, APIs, software, websites, and related services (collectively, the "Services") provided by Difract AI, Inc. ("Difract," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Difract provides a graph-based generative video engine that enables users to create non-linear, branching video experiences using artificial intelligence. Our Services include:
- Logic Editor: A visual node-based interface for designing branching narrative structures and video workflows.
- Consistency Engine: AI-powered technology ensuring character, style, and narrative consistency across generated video content.
- API Access: Programmatic access to our generative video capabilities, including integration with third-party AI video generation services such as Sora and Veo.
- Deployment Platform: Tools for publishing and distributing interactive video experiences across web, mobile, and streaming platforms.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify Difract of any unauthorized use of your account or any other breach of security. Difract will not be liable for any loss or damage arising from your failure to comply with this section.
3.3 Account Requirements
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.
4. User Content and Intellectual Property
4.1 Your Content
You retain ownership of all content, data, and materials that you upload, submit, or create using the Services ("User Content"). By using the Services, you grant Difract a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Services.
4.2 Generated Content
Subject to your compliance with these Terms and applicable subscription terms, you own the output generated by the Services using your inputs and creative direction ("Generated Content"). You are solely responsible for ensuring your Generated Content does not infringe upon third-party rights.
4.3 Difract Intellectual Property
The Services, including all software, algorithms, user interfaces, designs, trademarks, and documentation, are owned by Difract and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited license to use the Services as provided herein.
5. Acceptable Use Policy
You agree not to use the Services to:
- Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Create deepfakes or synthetic media intended to deceive, defraud, or harm individuals without their consent.
- Infringe upon any third-party intellectual property rights, including copyrights, trademarks, or patents.
- Generate content depicting minors in any inappropriate or harmful context.
- Violate any applicable laws, regulations, or third-party rights.
- Attempt to gain unauthorized access to the Services, other accounts, or computer systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
- Use the Services for any competitive analysis or to build a competing product.
6. Fees and Payment
6.1 Pricing
Certain features of the Services require payment of fees. Current pricing is available on our website. Difract reserves the right to change pricing at any time, with notice provided to existing subscribers before any price increase takes effect.
6.2 Billing
You agree to pay all fees associated with your use of the Services. Fees are billed in advance on a monthly or annual basis depending on your subscription plan. All fees are non-refundable except as expressly provided in these Terms.
6.3 Taxes
You are responsible for all applicable taxes, and we will charge tax where required by law. If you are exempt from taxation, you must provide us with valid exemption documentation.
7. Third-Party Services and APIs
The Services may integrate with or allow access to third-party AI video generation services, including but not limited to OpenAI's Sora and Google's Veo. Your use of such third-party services is subject to their respective terms of service and privacy policies. Difract is not responsible for the availability, accuracy, or content of third-party services.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DIFRACT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIFRACT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
DIFRACT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO DIFRACT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Difract and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your User Content, your Generated Content, or your violation of these Terms.
11. Termination
Difract may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Modifications to Terms
Difract reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of HongKong, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in HongKong, and you consent to the personal jurisdiction of such courts.
14. General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and Difract regarding the Services and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign or transfer these Terms without Difract's prior written consent. Difract may assign these Terms without restriction.
